As an expression of the Repsol Group's corporate social responsibility, specifically its commitment to the sustained improvement of the communities in which it develops its industrial and corporate activities, FUNDACIÓN REPSOL (hereinafter, “Organiser”), intends to carry out the "More Than Words - Giving Platform" initiative (hereinafter, the “Giving Platform”). It will take place in accordance with these Terms and Conditions that will be published on the following website: https://repsol.worldcoo.com/es/ (hereinafter, the “Giving Platform Website”).
Participation in this initiative implies compliance and full agreement with these Terms and Conditions.
The initiative will be carried out in collaboration with FUNDACIÓN LEALTAD, as well as the heads of the Repsol departments which are involved in this initiative.
Through our “Giving Platform”, we want to promote social dialogue with employees that work in Repsol Group companies (hereinafter, the “Participants”). A unique platform was created for this purpose, serving as a channel for Participants to send us social Projects developed by other organisations that they are especially involved with, pursuant to these Terms and Conditions (hereinafter, “Projects”).
The purpose of this document is to support and promote the Projects that best represent the values promoted by FUNDACIÓN REPSOL, such as solidarity, integration, and protection of vulnerable groups anywhere in the world, preferably in areas where Repsol is present. Via the “Giving Platform”, Participants can submit projects that aim to improve the quality of life of vulnerable groups, promote social integration, and address the needs of marginalised groups or those at risk of exclusion.
3. Conditions and requirements for participation
Employees of Repsol Group companies with an employment contract that is valid until the end of the year can participate in the “Giving Platform” initiative. No external staff or interns may participate.
Each employee can submit a maximum of five (5) Projects. Projects that have been selected in previous editions of the “Giving Platform” initiative cannot be submitted again. Different projects from the same entities will be accepted.
The Projects presented must have been developed by a non-profit organisation legally registered as an association or foundation that meets the following requirements:
The selected entities must have the following documents, which must be submitted to FUNDACIÓN REPSOL should the entities be selected (see Section 7 of the Terms and Conditions):
The Participants will act as representatives of the Project presented and as the link between FUNDACIÓN REPSOL and the beneficiary entities. As a result, during the course of the Project, FUNDACIÓN REPSOL may make direct contact through interviews, reports, videos, photos, etc., to promote the “Giving Platform” initiative and/or the Project presented.
3.2. Characteristics of the applications:

Applications submitted by any means other than the form on the aforementioned website will not be accepted under any circumstances.
In order for Projects to be admitted, the form attached to the present Terms and Conditions (Appendix I) and available on the Giving Platform website must be filled out entirely. In particular, the following information must be stated clearly:
Applications may be submitted for projects that are already under way, however, one (1) full year must remain before the parts of the project for which funding is being requested through participation in the “Giving Platform” are to be executed; the dates during which the project will be executed cannot be prior to those in which the Project will be available in the “Giving Platform”, in the event it is selected. (See dates in Section 4 of these Terms and Conditions).
Applications may be submitted in one of the following languages: Spanish, English, or Portuguese. The documents accompanying the application must be presented in Word or pdf format.
Only applications regarding specific and concrete Projects that meet the aforementioned criteria with a budget of €10 000 will be accepted.
Applications that fail to meet the basic requirements set out above will not be accepted. If an application is not accepted, the documentation submitted will not be returned by the Organiser.
The Organiser acquires no contractual obligation or commitment to the applicants of any kind arising from their participation in this “Giving Platform” initiative, the drafting and submission of the application, the evaluation of the application, and/or the selection of finalists.
The selected entities must accept Worldcoo's conditions and sign the corresponding collaboration agreement with Worldcoo so that the Project can be announced on the Giving Platform.
Participation in the “Giving Platform” initiative is free of charge, and therefore there is no payment of fees or additional amounts required to take part, with the exception of any expenses, charges and/or taxes applicable to the selected Entities, in accordance with these Terms and Conditions.
4. Submission Period to Participate in the “Giving Platform” initiative
Participation in the “Giving Platform” initiative will be structured in calls with a duration of six (6) months.
. Submission of projects: From the first week in July to the last business day in October (approx. 4 months). The specific dates will be announced on the “Giving Platform”.
. Assessment of projects, signing of the Worldcoo agreement, and other administrative procedures: Starting on the first business day of November and ending on the last business day of December (approx. 2 months).
. Publication on the “Giving Platform”: During the month of January. Selected projects will remain on the "Giving Platform" for a period of six (6) months, from January to June 2020. Repsol employees can make any contributions to these projects during that period of time. The starting date of the projects submitted in this call cannot be prior to 1 January 2020.
. Submission of projects: From the first week in January to the last business day in April (approx. 4 months). The specific dates will be announced on the “Giving Platform”.
. Assessment of projects, signature of the Worldcoo agreement, and other administrative procedures: Starting on the first business day of May, and ending on the last business day of June (approx. 2 months).
. Publication on the “Giving Platform”: During the month of July. Selected projects will remain on the "Giving Platform" for a period of six (6) months, from July to December 2020. Repsol employees can make any contributions to these projects during that period of time. The starting date of the projects submitted in this call cannot be prior to 1 July 2020.
Applications submitted outside the above-mentioned submission periods will not be considered.
The Organiser reserves the right to extend these periods, and, where applicable, disclose this change in a timely manner through the communication channels established for the initiative, making this amendment as visible as these Terms and Conditions.
5. Project evaluation procedure and process:

Only applications regarding specific and concrete Projects with a budget of € 10 000 will be accepted:
- €5000 funding is granted by FUNDACIÓN REPSOL when the projects are published on the “Giving Platform” and once the documents listed in Section 4 have been submitted.
- This funding can be increased with the contributions made by the employees through the “Giving Platform” by a maximum of €5000 by the end of the 6-month period that the projects are on the “Giving Platform”.
The Project evaluation process will be carried out in the following stages:
PHASE 1 Sending and reception of applications. This phase will be carried out within the time periods indicated in previous section 4 of these Terms and Conditions.
PHASE 2: Selection of winning projects. FUNDACIÓN LEALTAD will carry out the first evaluation of the applications received, taking into consideration (i) the evaluation criteria included in section 6 of these Terms and Conditions and (ii) the application submission requirements included in these Terms and Conditions, ensuring the quality and eligibility of those applications in both cases.
A multidisciplinary jury has been assembled to select the final list of Projects, composed of FUNDACIÓN SERES, FUNDACIÓN LEALTAD, and members of the Social and Volunteering Area of FUNDACIÓN REPSOL.
The Jury will select the 4 best projects, and these will be uploaded to the “Giving Platform”. At that moment, and once the documents listed in Section 4 have been submitted, Fundación Repsol will wire the €5000 to the selected entities. After six months, the entities will also receive the money raised by employees.
The Jury’s decision will be made public on repsolnet, as well as any other channels the Organiser considers appropriate, with prior written notification to the participant sent to the email address provided on the application form.
The Organiser reserves the right to host a special event with the selected Entities.
The “Giving Platform” initiative may be declared null and void if, at the Jury’s discretion, the applications received do not have sufficient merit to be part of the “Giving Platform”.
6. Project evaluation criteria

7. Selected Entities
The selected entities must earmark the amount received solely and exclusively for the implementation and development of the winning Projects.
The amounts raised via the “Giving Platform” will be transferred by Worldcoo to the selected entity, as per the agreement previously signed by both parties.
In accordance with current legislation on the prevention of money laundering, as set out in Law 10/2010 and the implementing regulation in force at any given time, as a party obligated to comply with said regulation, FUNDACIÓN REPSOL, will comply with its obligations to identify the selected entities.
In order to receive the €5000 funding from FUNDACIÓN REPSOL, the selected entities must submit the following documents:

This documentation must be provided within a period of thirty (30) calendar days from the moment it is requested by FUNDACIÓN REPSOL. If the aforementioned documentation is not provided within that period, is incomplete, or shows that the organisation does not comply with the requirements established in these Terms and Conditions, FUNDACIÓN REPSOL reserves the right to withdraw the contribution to the organisation and select a different entity from the finalists assessed by the Jury.
8. Taxation of Prizes
Each party will be responsible for any tax liabilities derived from the Projects selected, in accordance with applicable tax legislation.
9. Development of selected Projects
FUNDACIÓN REPSOL may ask the organisations selected to provide information justifying the development of the Project.
Regarding the justification of the amounts awarded by FUNDACIÓN REPSOL, upon completion of the Project the selected entities will submit a final report to FUNDACIÓN REPSOL, detailing the amounts spent and the activities developed with the amount awarded by FUNDACIÓN REPSOL. This must be in accordance with the budget and activities described by the organisation in the Project presentation form.
FUNDACIÓN REPSOL and FUNDACIÓN LEALTAD may request additional information from the entities to confirm and document that the resources awarded to the Project have been used appropriately. In the event that the documentation requested is not provided, FUNDACIÓN REPSOL reserves the right to request the reimbursement of the contributed funds.
By submitting an application for this initiative, Participants guarantee that:
11. Data Protection.
In compliance with the provisions of Spanish Personal Data Protection regulations, any personal data provided by the Participant to take part in the “Giving Platform” initiative will be recorded in a file owned by FUNDACIÓN REPSOL, with registered address in Calle Acanto, 22, 10ª planta, 28045 Madrid (Spain), to be used for the purpose of carrying out any procedures required for the initiative described in the present Terms and Conditions.
The Participant has the right to access this record and modify, delete, and/or object to their data being processed. In order to do so, the Participant must notify the data processor of this fact in writing to the aforementioned address, or via email to email@example.com. In both cases, the Participant must attach a photocopy of their national ID or a similar identification document.
Participation in the Initiative is voluntary and requires the processing of the personal data provided by applicants. Data processing will be carried out as follows:
If the applicant provides third-party personal data, the applicant is responsible for informing said third party of the contents of the present clause. Furthermore, the applicant must have been granted consent by said third party to share the latter’s personal data with FUNDACIÓN REPSOL, which will be held harmless against any liability in case of failure to inform the third party or obtain the latter’s consent for data processing by FUNDACIÓN REPSOL.
12. Liability waiver and reservation of rights
The Participants agree not to use any content on the “Giving Platform” that is unlawful, obscene, pornographic, abusive, defamatory, slanderous, racist or otherwise contrary to morals or public order, publicity nor any content that may be offensive and/or harmful to the image of FUNDACIÓN REPSOL, as well as of any natural or legal third-party persons, and/or may infringe or otherwise violate their rights.
The Participants also agree not to insert any type of computer virus or corrupt files which could damage or modify without authorisation the contents, programmes or information systems.
In the event that these provisions are breached, FUNDACIÓN REPSOL may immediately suspend their participation and, where applicable, remove the supposedly unlawful contents without giving rise to any type of claim in favour of the Participant.
Similarly, FUNDACIÓN REPSOL reserves the right to withdraw, prevent the participation of, or even remove the amount awarded to any Participants who (i) misuse the means put at their disposal to participate in the “Giving Platform”; (ii) impede the normal development of the initiative; (iii) perform any actions that are fraudulent or harmful to other Participants, or that infringe upon the transparency of the initiative; or (iv) directly or indirectly benefit from this type of fraudulent action.
FUNDACIÓN REPSOL reserves the right not to grant the awarded amount if there are reasonable grounds to believe that a Participant has infringed any of these terms and conditions.
FUNDACIÓN REPSOL may take action as indicated in the previous paragraphs at its own discretion or at the request of affected third parties.
The above is without prejudice to FUNDACIÓN REPSOL's right to pursue all civil or criminal proceedings that may be applicable.
In the event that the “Giving Platform” initiative cannot be carried out — whether due to fraud, technical errors, or any other reason found to be outside the control of FUNDACIÓN REPSOL that negatively affects the normal development of the initiative — it reserves the right to cancel, alter, or suspend it, without being liable for any claims made by the Participants.
FUNDACIÓN REPSOL will not be liable for any potential shortcomings, delays, or any other circumstance attributable to third parties that may negatively affect participation over the Internet, including potential shortcomings or failures related to telecommunications or the malfunction of the websites that may be involved in this initiative due to circumstances beyond FUNDACIÓN REPSOL's control.
FUNDACIÓN REPSOL reserves the right to amend the Terms and Conditions, or even declare them void at any moment before the initiative’s end date, provided that there is good cause, agreeing to give sufficient notice of the new terms and conditions for participation in the event or of their definitive cancellation. FUNDACIÓN REPSOL reserves the right to make changes to the initiative, provided they do not negatively affect the Participants and that they are duly notified of these changes.
This initiative is subject to current Spanish law. Any controversy or claim arising from, or related to, the interpretation and/or applicability of these terms and conditions will be submitted to the Jury. Should Participants wish to make a claim, they should do so within fifteen (15) days from the announcement of the selected Projects. Any dispute arising in connection to this initiative will be subject to the jurisdiction of the Courts and Tribunals of the city of Madrid.
14. Agreement with the Terms and Conditions
The present Terms and Conditions are registered with the notary of the city of Madrid, Mr. Jaime Recarte Casanova, and will be published and made available to the general public on the Giving Platform website. Accepting the present Terms and Conditions is a mandatory requirement for participation in the “Giving Platform” initiative.
Participation in the “Giving Platform” initiative implies full agreement with these Terms and Conditions and all decisions made by the Organiser. Therefore, any expression of non-agreement by the participant will imply exclusion from the initiative.
Similarly, participation implies acceptance of FUNDACIÓN REPSOL's criteria for the resolution of any disputes that may arise from interpretation of the Terms and Conditions.
The Terms and Conditions will be available to anyone who wishes to read them on the Giving Platform website.

Access, rectification, objection, erasure, restriction of processing, portability, and withdrawal of consent. These rights may be exercised by informing the data controller at their registered address. Complaints may also be lodged with the supervisory authority at any time.
Duration of data processing
Participants’ data will be processed during and after the call is under way, and once it has finished until the statute of limitations for criminal, civil, and/or administrative liability has passed.
 FUNDACIÓN LEALTAD is a non-profit organisation whose mission is to promote public trust in NGOs, in order to secure an increase in donations and any other type of support. It was the first organisation to develop a methodology for analysing the transparency and best management practices of Spanish NGOs. FUNDACIÓN LEALTAD grants the Accredited NGO Stamp to the analysed organisations that comply with the 9 Principles of Transparency and Best Practices. In this way, it provides private and institutional donors with independent, objective, and consistent information about the NGOs to help them decide which to support and guide them in monitoring their donations.
